Terms & Conditions

  1. Scope of Services 1.1 HUC Marketing ("Agency") is a performance marketing agency specializing in digital advertising campaigns, including Google Ads, Meta Ads, and mailing services. 1.2 The Agency provides strategic planning, campaign management, and optimization services to clients, aiming to maximize their online presence and drive desired outcomes.

  2. Infrastructure Leasing 2.1 As part of the engagement, the Agency may grant the client access to its proprietary infrastructure, which includes advanced servers, cutting-edge software tools, and data analytics platforms. 2.2 The client acknowledges that the infrastructure made available by the Agency is leased and remains the exclusive property of HUC Marketing. No ownership rights or transfer of assets are implied or granted to the client.

  3. Contractual Obligations 3.1 Both parties agree to fulfill their respective obligations as stipulated in the mutually agreed-upon contract. 3.2 The client is responsible for making timely payments for the services rendered by the Agency. Failure to adhere to the agreed-upon payment schedule may result in the termination of the contract by the Agency.

  4. Data Ownership and Usage 4.1 All data generated as a result of the client's campaigns, including performance metrics, customer information, and campaign statistics, shall be the sole and exclusive property of the client. 4.2 The client hereby grants HUC Marketing a non-exclusive, royalty-free license to use the data solely for analytical and reporting purposes during the contract period. 4.3 Upon the termination of the contract, HUC Marketing will retain the client's data for a period of five (5) years, after which it will be securely and permanently deleted unless otherwise required by applicable Canadian laws or regulations. 4.4 After the retention period, HUC Marketing may, at its discretion, utilize the client's data for mailing purposes solely to offer its services to the client, including sending promotional materials or updates related to the Agency's offerings.

  5. Confidentiality 5.1 Both parties acknowledge and agree to maintain strict confidentiality regarding any proprietary or sensitive information disclosed during the engagement. 5.2 HUC Marketing may use anonymized and aggregated data for industry benchmarking, case studies, or other marketing purposes, provided that individual client data remains strictly confidential.

  6. Termination 6.1 Either party reserves the right to terminate the contract by providing written notice to the other party. 6.2 HUC Marketing retains the right to terminate the contract if the client fails to meet their payment obligations or breaches any terms outlined in the contract.

  7. Limitation of Liability 7.1 HUC Marketing shall not be liable for any indirect, incidental, or consequential damages arising from the client's use of the services provided. 7.2 The total liability of HUC Marketing, if any, shall not exceed the total fees paid by the client to the Agency during the contract period.

  8. Governing Law and Jurisdiction 8.1 These terms and conditions shall be governed by and construed in accordance with the laws of Canada. 8.2 Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Canada.
